假如实际热值高于或低于5,800大卡/公斤(收到时净值)，则价

格将按比例计算调整，算法如下：

Buyershallprovideatdischargeportasafeberthreachableon

arrivalwherethevesselshallalwaysbeabletoenter,discharge,lie

andleaveafloat.

买方须于卸货港提供一安全泊位，让船只到达时可以随时进入、

卸货、停靠和离开。

VesselNomination船只通报

SellershallnotifytheBuyerofthefollowingdetailsinwriting:

卖方将以书面形式通知买方以下资料：

TheSellershallgivewrittennoticetotheBuyeroftheprogressof

thevesselfive(5)days,three(3)days,two(2)daysandtwentyfour

(24)hoursbeforetheETAofthevesselattheportofdischarge.

TheSellershallinformtheBuyerofanydeviationinexcessof

twenty-four(24)hourstotheaforementionedETA.卖方将于预计

船只抵达卸货港前五天、三天、两天和二十四小时以书面通知买

方船只的进度。如有偏差，卖方将于前述的预计抵达日二十四小

时前通知买方。

TheSellermaysubstituteanyvesselnominatedunderthis

卖方或于预计抵达日前任何时候发出更换通知书通知买方更换

原来通报的船只。

Dischargerate卸载速度

Buyershallguaranteeaminimumdischargerateof25,000metric

买家须保证每一可卸载工作天最少卸载25,000公吨，包括星期

天和公众假期。Turntime:12(twelve)hours.等泊时间：十二小

须负责其他所有费用。买家须及时支付该等费用以免导致延误。

买方负责委派装卸工。装卸工与任何受雇于装卸工人仕均由船

长监督。如装卸工的行为或疏忽引致损失及/或损失，由装卸工/

买方与船长/船东直接解决。

ProductdischargedbyBuyer买方卸载货物

Productistobedischargedandtakenfreefromthevessel's

holdsattheBuyer'sriskandexpense.

货物由船只卸载转移的风险和费用由买方负责。

NoticeofReadinessandLaytime准备就绪通知与卸货时间

Afterarrivalattheportofdischarge,NoticeofReadinessmaybe

tenderedbythevesselduringoroutsideofofficehoursatanytime

ofdayornight,Saturdays,Sundaysandholidaysincluded,whether

inportornot,whetherinberthornot,whetherinfreepratiqueor

not,whethercustomsclearedornot.

船只抵达卸货港后，将随时发出准备就绪通知，无论是办公或

非办公时间，日与夜，包括星期六，星期天与公众假期，无论在

港口与否，在泊位与否，入港与否以及清关与否。

卸货完成后卸货时间即终结（剩余的装卸工须清扫干净直至船

长满意）。任何额外用于买方进行吃水测量的时间均算作卸货时

间。用于最终吃水调查的时间通常算作卸货时间及耗用时间

TimeandcostsofshiftingdirectlybetweenberthsattheBuyer?s

orPortAuthority?srequestshallcountasLaytimeandallindoing

soshallbefortheBuyer?saccount.

买方或港口当局要求在泊位间直接转移花费的时间和成本算作

卸货时间并由买方负责。

Anytimelostduringdischargingduetothevessel'sinability

todischargeorduetoanyotherdefectand/ordefaultinthevessel,

deficiencyand/ordefaultofthevessel'spersonnelshallnot

countasLaytime.卸货时由于船只不能卸货或由于任何的船只缺

陷及/或缺失、不足及/或由于船员的缺失导致的时间损失不算作

卸货时间。

Intheeventofweatherconditionswhich,intheopinionofeither

thePortAuthorityortheMastermakedischargingperilous,andall

dischargingoperationsaresuspendedthenallsuchtimelostshall

notcountasLaytime,unlessvesselisalreadyondemurrage,andthe

Mastermayclosehatchesincaseofheavyrain,heavysnow,orhail.

Incaseofrain,allholdswhichhavenotbeenfullydischargedshould

beclosedinordertoavoidwettingtheCoal.

天气方面，如果港口当局或船长认为会引致卸货危险而暂停卸

货操作则所有时间损失将不计算入卸货时间内，除非船只已然滞

期，而船长或会于大雨、大雪或下冰雹时关闭舱门。大雨时，所

有未卸载的剩余货物应该关闭以防弄湿煤炭。

可撤销的信用证。该信用证凭即期汇票及本合同第（9）条规定的

单据在开证行付款。

（9）单据Documents：

各项单据均须使用与本合同相一致的文字，以便买方审核查对：

（10）TermsofShipment装运条件：fFOBDelivery：

离岸价条款

a）ForthegoodsorderedinthisContract,thecarryingvesselshall

bearrangedbytheBuyersortheBuyers’ShippingAgentChina

lersshallbearallthe

chargesandrisksuntilthegoodsareeffectivelyloadedonboardthe

carryingvessel.

装运本合同货物的船只，由买方或买方运输代理人中国租船公

司租订舱位。卖方负担货物的一切费用风险到货物装到船面为止。

b）TheSellersshalladvisetheBuyersbycable,andsimultaneously

advisetheBuyers’shippingthecontractnumber,nameof

commodity,quantity,loadingportandexpecteddateofarrivalof

thegoodsattheloadingport,enablingtheBuyerstoarrangefor

eofsuchadvicewithinthetimespecified

aboveshallbeconsideredasSellers’readinesstodeliverthegoods

duringthetimeofshipmentcontractedandtheBuyersshallarrange

forshippingspaceaccordingly.

卖方必须在合同规定的交货期限30天前，将合同号码、货物名

称、数量、装运口岸及预计货物运达装运口岸日期，以电报通知

买方以便买方安排舱位。并同时通知买方在装港的船代理。倘在

规定期内买方未接到前述通知，即作为卖方同意在合同规定期内

任何日期交货，并由买方主动租订舱位。

bereimbursedagainstoriginalreceiptsorinvoices.

买方所租船只按期到达装运口岸后，如卖方不能按时备货装船，

买方因而遭受的一切损失包括空舱费、延期费及/或罚款等由卖方

负担。如船只不能于船舶代理人所确定的受载期内到达，在港口

免费堆存期满后第15天起发生的仓库租费，保险费由买方负

担，但卖方仍负有载货船只到达装运口岸后立即将货物装船之义

务并负担费用及风险。前述各种损失均凭原始单据核实支付。

B．TermsofCFRDelivery成本加运费价条款

卖方负责将本合同所列货物由装运口岸装直达班轮到目的口

岸，中途不得转船。货物不得用悬挂买方不能接受的国家的旗帜

的船只装运。

（11）AdviceofShipment装运通知：

Uponcompetitionofloading,theSellersshalladviseimmediately

theBuyersbycableofthecontractnumber,nameofcommodity,

numberofpackages,grossandnetweights,invoicevalue,nameof

vesselandloadingdate.

卖方在货物装船后，立即将合同号、品名、件数、毛重、净重、

发票金额、载货船名及装船日期以电报通知买方。

（12）Insurance保险：

TobecoveredbytheBuyersfromshipment,forthispurposethe

SellersshalladvisetheBuyersbycableoftheparticularsascalled

forinClause(11)ofthisContract,IntheeventoftheBuyersbeing

unabletoarrangeforinsuranceinconsequenceoftheSellers’

failuretosendtheaboveadvice,theSellersshallbeheld

responsibleforallthelossesthussustainedbytheBuyers.
