Article1Tenets

Inordertofurtherregulatethediscussionmethodsanddecision-makingproceduresoftheboard

ofdirectorsofthiscompany,urgethedirectorsandtheboardofdirectorstoeffectivelyperform

theirrespectivefunctionsandenhancethestandardizedoperationsandscientificdecision-making

leveloftheboardofdirectors,theseRulesareformulatedaccordingtotheCompanyLaw,the

SecuritiesLaw,theGuidelinesfortheGovernanceofListedCompaniesandtheRulesofShanghai

StockExchangefortheListingofStocks,etc.

Article2OfficeoftheBoardofDirectors

Theboardofdirectorswillestablishageneralofficeforhandlingthedailyaffairsoftheboardof

directors.

Thesecretaryoftheboardofdirectorsortherepresentativeofsecuritiesaffairswillconcurrently

actastheperson-in-chargeofthegeneralofficeoftheboardofdirectorsandberesponsibleforthe

sealsoftheboardofdirectorandthegeneralofficethereof.

Article3RegularMeetings

Themeetingsoftheboardofdirectorsshallbedividedintoregularmeetingsandtemporary

meetings.

Theboardofdirectorsshallholdregularmeetingsatleastonceineachofthetwohalvesofayear.

Article4ProposalsforRegularMeetings

Beforethenoticeonholdingaregularmeetingoftheboardofdirectorsiscirculated,theofficeof

theboardofdirectorsshallfullysolicittheopinionsofallthedirectors,preliminarilyformthe

proposalsonthemeetingandsubmitthemtotheboardofdirectorsfordraftingproposals.

Beforethechairmanoftheboardofdirectorsdraftstheproposals,heshallsolicittheopinionsof

themanagersandotherseniormanagers.

Article5TemporaryMeetings

Whereitisunderanyofthefollowingcircumstances,theboardofdirectorsshallholdatemporary

meeting:

(1)Whentheshareholdersthatrepresent1/10ormoreofthevotingrightsputforwardamotion;

(2)When1/3ormoredirectorsjointlyputforwardamotion;

(3)Whentheboardofsupervisorsputsforwardamotion;

(4)Whenthechairmanoftheboardofdirectorsconsidersitnecessarytoholdameeting;

(5)When1/2ormoreindependentdirectorsputforwardamotion;

(6)Whenthemanagerputsforwardamotion;

(7)Whenthesecuritiessupervisorydepartmentrequirestoholdameeting;or

(8)AnyothercircumstanceasprescribedbytheArticlesofAssociationofthiscompany.

Article6MotioningProceduresforTemporaryMeetings

Wherethetemporarymeetingoftheboardofdirectorsismotionedaccordingtotheprovisionsin

theprecedingArticle,awrittenmotionsigned(sealed)bytheproponentshallbesubmitted

throughthegeneralofficeoftheboardofdirectorsorbedirectlysubmittedtothechairmanofthe

ttenmotionshallindicate:

(1)thenameoftheproponent;

(2)thereasonsorobjectivecausesonwhichthemotionisbased;

(3)thetimeortimelimit,placeandmethodassuggestedforholdingthemeeting;

(4)theexplicitandspecificproposals;and

(5)thecontactinformationoftheproponentsandthedateofmotion,etc.

Theproposalsshallconcernthemattersthatfallwithinthescopeoftheauthoritiesoftheboardof

directorsasprescribedintheArticlesofAssociationofthiscompany,andbesubmittedtogether

withthematerialsthatrelatetotheproposals.

Afterreceivingtheaforesaidwrittenproposalsandtherelevantmaterials,theofficeoftheboard

hairmanofthe

boardofdirectorsconsidersthecontentsintheproposalsinexplicitorunspecific,orconsidersthe

relevantmaterialsinsufficient,hemayrequiretheproponenttoalterorsupplementtherelevant

contents.

Thechairmanoftheboardofdirectorsshall,within10daysuponreceiptoftheproposalsorthe

requestofthesecuritiessupervisorydepartment,holdthemeetingoftheboardofdirectorsand

presideoverthemeeting.

Article7ConveningofandPresidingovertheMeetings

Themeetingoftheboardofdirectorsshallbeconvenedandpresidedoverbythechairmanofthe

hechairmanoftheboardofdirectorscannotperformhisfunctionsor

failstoperformhisfunctions,thedeputychairmanoftheboardofdirectorsshallconveneand

presideoverthemeeting;wherethereisnodeputychairmanoftheboardofdirectors,orthe

deputychairmanoftheboardofdirectorscannotperformhisfunctionsorfailstoperformhis

functions,halformoredirectorsshalljointlyrecommendadirectortoconveneandpresideover

themeeting.

Article8NoticesontheMeeting

Toholdaregularortemporarymeetingoftheboardofdirectors,theofficeoftheboardof

directorsshall,10or5daysinadvancerespectively,submitawrittennoticeonthemeetingwith

thesealofthegeneralofficeoftheboardofdirectorstoallthedirectors,supervisors,managers

andthesecretaryoftheboardofdirectorsbydirectservice,fax,e-mailoranyothermeans,and

shallmakeaffirmationbyphonecallsandmakethecorrespondingrecords.

Wherethecircumstanceisurgentanditisnecessarytoholdatemporarymeetingoftheboardof

directors,thenoticeonthemeetingcanbecirculatedatanytimebyphoneoranyotheroralmeans,

buttheconvenershallmakeexplanationsatthemeeting.

Article9ContentsoftheNoticeontheMeeting

Awrittennoticeonthemeetingshallatleastinclude:

(1)thetimeandplaceofthemeeting;

(2)themethodforholdingthemeeting;

(3)thematters(proposals)tobedeliberated;

(4)theconvenerandthepresiderofthemeeting,theproponentofthetemporarymeetingaswellas

thewrittenproposals;

(5)theconferencematerialsnecessaryforthevotingoftheboardofdirectors;

(6)therequirementthatthedirectorsshallattendthemeetinginpersonorbyentrustingother

directors;and

(7)thecontactpersonandcontactinformation.

AnoralnoticeshallatleastincludethecontentsmentionedintheaforesaidItems(1)and(2)as

wellastheexplanationsonholdingthetemporarymeetingoftheboardofdirectorsunderthe

urgentcircumstance.

Article10AlterationoftheNoticeontheMeeting

Afterawrittennoticeonholdingtheregularmeetingoftheboardofdirectorsiscirculated,ifthe

timeorplace,eetingneedstobechangedortheproposalsforthemeetingneedtobe

supplemented,revisedorcancelled,awrittennoticeontheaforesaidalterationshallbecirculated,

theconditions,therelevantcontentsofthenewproposalsandtherelevantmaterialsshallbe

eislessthan3days,themeeting

shallbecorrespondinglypostponedorcanbeheldonscheduleuponconfirmationofallthe

directorsthatattendthemeeting.

Afterawrittennoticeonholdingatemporarymeetingoftheboardofdirectorsiscirculated,ifthe

timeorplace,eetingneedstobechangedortheproposalsforthemeetingneedtobe

added,changedorcancelled,itisnecessarytoobtaintheprioraffirmationofallthedirectors

attendingthemeetingandmakethecorrespondingrecords.

Article11HoldingoftheMeeting

Themeetingoftheboardofdirectorscanbeheldonlyaftermorethanhalfofthedirectorsattend

elevantdirectorsfailorrefusetoattendthemeetingandtheminimumnumber

ofdirectorsforholdingthemeetingthuscannotmeettherequirements,thechairmanandthe

secretaryoftheboardofdirectorsshalltimelyreportittothesupervisorydepartment.

Thesupervisorscanattendthemeetingasnon-votingdelegates;ifamanagerorthesecretaryof

theboardofdirectorsisnotadirector,

presiderofthemeetingmaynotifyotherrelevantpersonstoattendthemeetingasanon-voting

delegateifheconsidersitnecessary.

Article12PersonalAttendingandCommissionedAttendingoftheMeeting

Asageneralrule,adirectorshallattendthemeetingoftheboardofdirectorsinperson,ifhecan

notattendthemeetingduetosomereasons,heshallreadtheconferencematerialsinadvance,

formexplicitopinionsanddelegateinwritinganyotherdirectortoattendthemeeting.

Apowerofattorneyshallindicate:

(1)thenameoftheprincipalandtheagent;

(2)thebriefopinionsoftheprincipalconcerningeachproposal;

(3)thescopeofauthorizationoftheprincipalandhisinstructionsconcerningthetypesofopinions

totheproposals;and

(4)thesignatureoftheprincipalandthedate,etc..

Incaseadirectorauthorizesanyotherdirectortoissuewrittenconfirmationopinionson

commissionforaregularreport,heshallgivespecialauthorizationintheletterofattorney.

Thedelegateddirectorshallsubmitawrittenletterofattorneytothepresiderofthemeeting,and

statetheconditionsonattendingthemeetingoncommissionontheattendancebook.

Article13RestrictionsinConnectiontotheCommissionedAttending

Thefollowingprinciplesshallbefollowedfordelegatingothersorbeingdelegatedtoattendthe

meeting:

(1)Whenarelatedtransactionisdeliberated,anon-relateddirectorshallnotdelegateanyrelated

directortoattendthemeeting,andarelateddirectorshallnotacceptthedelegationofany

non-relateddirector;

(2)Anindependentdirectorcannotdelegateanynon-independentdirectortoattendthemeeting,

andanon-independentdirectorcannotacceptthedelegationofanyindependentdirector;

(3)Adirectorshallnotdelegateanyotherdirectortoattendthemeetingwithallpowersunderthe

circumstancethathedoesnotexplainhisownopinionsandthetypesofopinionstotheproposals,

andtherelevantdirectoralsoshallnotacceptthedelegationwithallpowersorwithunclear

contents;and

(4)Adirectorshallnotacceptthedelegationoftwoormoredirectors,ordelegateanydirectorthat

hasacceptedthedelegationofothertwodirectorstoattendthemeeting.

Article14MethodsforHoldingtheMeeting

Asageneralrule,cessary,the

meetingmaybeheldbyvideo,telephone,faxore-mail,nsentoftheconvener

(presider)andtheproponentsonthepremisethatthedirectorscanfullyexpresstheiropinions.

Themeetingoftheboardofdirectorscanalsobeheldliveincombinationwithothermeans.

Inthecaseoflivemeeting,thenumberofdirectorsattendingthemeetingshallbecalculatedby

thedirectorswhoareonthespotasshowedbyvideo,thedirectorswhohaveexpressedopinions

inthetelephoneconference,thefaxes,e-mailsandothervalidvotesthatareactuallyreceived

withintheprescribedtimelimit,orthewrittenconfirmationlettersthedirectorssubmitted

afterwardsforprovingthattheyhaveattendedthemeeting.

Article15DeliberationProceduresoftheMeeting

Thepresidershallrequestallthedirectorswhohaveattendedthemeetingoftheboardofdirectors

toexpressclearopinionstoalltheproposals.

Withrespecttotheproposalsthatshouldbeapprovedinadvancebytheindependentdirectors

accordingtotheprovisions,thepresidershall,beforetherelevantproposalsarediscussed,

designateoneindependentdirectortoreadoutthewrittenapprovalopinionsreachedbythe

independentdirectors.

Whereanydirectorhampersthenormalgoingofthemeetingoraffectsthespeechofanyother

director,thepresidershallstophimintime.

Unlessitisunanimouslyagreedtobyallthedirectorsattendingthemeeting,themeetingofthe

boardofdirectorsshallnotvoteonanyproposalnotbeingincludedinthenoticeonthemeeting.

Whereadirectoracceptsthedelegationofanyotherdirectortoattendthemeetingoftheboardof

directors,heshallnotvoteontheproposalnotbeingincludedinthenoticeonthemeetingon

behalfofanyotherdirector.

Article16ExpressingOpinions

Thedirectorsshallseriouslyreadtherelevantconferencematerials,andindependentlyand

prudentlyexpresstheiropinionsonthebasisoffullyunderstandingoftheconditions.

Adirectorcanfindouttheinformationnecessaryforthedecision-makingfromtheofficeofthe

boardofdirectors,theconvener,managersandotherseniormanagers,allthespecialcommissions,

theaccountantfirm,thelegalfirmandotherrelevantpersonsandinstitutions,ormaysuggestthe

presiderduringthecourseofthemeetingtoasktherepresentativesoftheaforesaidpersonsor

institutionstoexplaintherelevantconditions.

Article17VotingattheMeeting

Aftereachproposalhasbeenfullydiscussed,thepresidershallsubmitittothedirectorsattending

themeetingforvotinginrealtime.

Inthevotingonanyresolutionatthemeeting,ing

shallbecarriedoutinaregisteredorwrittenmanner.

Theopinionsofthedirectorsforvotingshallbedividedintothefollowingkinds:consent,

ectorsattendingthemeetingshallchooseonekindoftheaforesaid

irectorwhohasnotchosenanykindofopinionsorsimultaneouslychosentwoor

morekindsofopinions,fusestodoso,

ectorwholeavesthemeetingplacehalfwayandthus

doesnotmakeachoice,itshallberegardedasanabstention.

Article18CalculationofVotingResults

Uponconclusionofthevotingofthedirectorsattendingthemeeting,therepresentativesof

securitiesaffairsandtherelevantstaffmembersoftheofficeoftheboardofdirectorsshalltimely

collectthevotesofdirectorsandsubmitthemtothesecretaryoftheboardofdirectorsfor

calculationunderthesupervisionofonesupervisororindependentdirector.

Inthecaseofalivemeeting,thepresidershallannouncethecalculationresultsonthespot;

otherwise,thepresidershallrequirethesecretaryoftheboardofdirectorstonotifythedirectorsof

thevotingresultsbeforethenextworkingdayuponconclusionofthetimelimitforvotingas

prescribedbythesecretaryoftheboardofdirectors.

Whereanydirectorcastshisvoteafterthepresiderannouncesthevotingresultsorupon

conclusionoftheprescribedtimelimitforvoting,hisvoteshallnotbecountedinthecalculation

results.

Article19FormationofResolutions

ExceptforthecircumstancesprescribedinArticle20oftheseRules,whentheboardofdirectors

adoptsanyproposalforthemeetingandformsanyrelevantresolution,thereshallbemorethan

hereisanyprovisioninanylaw,

administrativelawortheArticlesofAssociationofthiscompanywhichprescribesthatno

resolutionmaybeformedbytheboardofdirectorsunlesstheaffirmativevotesofthedirectors

accountformorethantheaforesaidproportion,suchprovisionshallprevail.

Wheretheboardofdirectorsmakesaresolutionfortheguarantieswithinthescopeofitspowers

accordingtotheprovisionsintheArticlesofAssociationofthiscompany,thereshallbe2/3or

moredirectorsattendingthemeetingwhocastaffirmativevotesexceptthatitshallbeagreedon

byhalformoreofallthedirectorsofthecompany.

Incasethereisanyconflictbetweendifferentresolutionsintermsofcontentsormeaning,the

resolutionformedatalatertimeshallprevail.

Article20WithdrawalfromVoting

Ifanyofthefollowingcircumstancesoccurs,thedirectorsshallwithdrawformthevotingonthe

relevantproposals:

(1)thecircumstancesasprescribedintheRulesofShanghaiStockExchangefortheListingof

Stocksunderwhichthedirectorshallwithdraw;

(2)thecircumstanceunderwhichthedirectorthinksthatheshallwithdraw;or

(3)anyothercircumstanceasprescribedintheArticlesofAssociationofthiscompanyunder

whichthedirectorshallwithdrawbecausehehasanyrelatedrelationwiththeenterpriseinvolved

intheproposal.

Underthecircumstancewhereanydirectorwithdrawsfromvoting,therelevantmeetingofthe

boardofdirectorscannotbeheldunlesshalformorenon-relateddirectorsattendthemeeting,and

theresoluti

therearelessthan3non-relateddirectorsattendingthemeeting,thevotingontherelevant

proposalscannotbeconducted,andtherelevantmattersshallbesubmittedtothegeneral

assemblyofshareholdersfordeliberation.

Article21NotExceedingtheLimitofAuthorities

Theboardofdirectorsshallhandleitsaffairsinstrictaccordancewiththeauthorizationofthe

generalassemblyofshareholdersandtheArticlesofAssociationofthiscompany,andshallnot

formanyresolutionbyexceedingthelimitofauthorities.

Article22SpecialProvisionsontheDistributionofProfits

Incasethemeetingoftheboardofdirectorsneedstomakeanyresolutionregardingthe

distributionofprofits,itmayfirstnotifythecertifiedpubicaccountantsofthepreliminaryplan

aboutthedistributiontobesubmittedtotheboardofdirectorsfordeliberation,andrequirehimto

issueadraftontheauditreportbasedthereon(thefinancialdataotherthanthedistributionof

profitsshallbedetermined).Aftertheboardofdirectormakesaresolutiononthedistributionof

profits,itshallrequirecertifiedpublicaccountantstoissueaformalauditreport,andtheboardof

directorsshallmakeresolutionsonotherrelevantmattersintheregularreportinlightofthe

formalauditreportissuedbythecertifiedpublicaccountants.

Article23HandlingofUnadoptedProposals

Ifaproposalisnotadopted,underthecircumstancewheretherelevantconditionsandfactorsare

notsignificantlychanged,themeetingoftheboardofdirectorsshallnotdeliberateanyproposal

withthesamecontentswithinonemonth.

Article24SuspensionofVoting

Wherehalformoreofthedirectorsattendthemeetingortwoormoreindependentdirectors

consideranyproposalinexplicitorunspecific,ortheycannotmakeajudgmentfortherelevant

mattersbecausetheconferencematerialsarenotsufficient,etc.,thepresidershallrequirethe

meetingtosuspendthevotingontheaforesaidproposalatthemeeting.

Thedirectorswhosuggestsuspendingthevotingshallputforwardexplicitrequirementsfor

submittingtheaforesaidproposalfordeliberationagain.

Article25AudioRecordsofMeeting

Audiorecordsshallbemadeforthewholeprocessofthemeetingoftheboardofdirectorsheld

live,byvideoortelephone.

Article26MeetingRecords

Thesecretaryoftheboardofdirectorsshallarrangethestaffmembersoftheofficeoftheboardof

tingrecordsshall

include:

(1)thenumberofsession,thetime,placeandmethodforholdingthemeeting;

(2)theconditionsonsendingoutthenoticeonthemeeting;

(3)theconvenerandthepresiderofthemeeting;

(4)theconditionsonwhetherthedirectorswillattendthemeetinginpersonorbydelegation;

(5)theproposalstobedeliberatedatthemeeting,themajorpointsandopinionsofallthedirectors

totherelevantmatters,andtheiropinionstotheproposals;

(6)thevotingmethodsandresultsofeachproposal(thenumberofvotesofconsent,objectionand

abstentionshallbespecificallyindicated);and

(7)othermattersasregardedbythedirectorsattendingthemeetingthatshallbeindicated.

Article27MeetingMinutesandResolutionRecords

Exceptforthemeetingrecords,thesecretaryoftheboardofdirectorsmayarrangethestaff

membersoftheofficeoftheboardofdirectorstomakeconciseminutesonthemeetingwhen

necessary,andtoseparatelymakerecordsoftheresolutionsformedatthemeetinginlightofthe

votingresults.

Article28SignatureofDirectors

Thedirectorsattendingthemeetingshallaffixtheirnamesonthemeetingrecordsandresolution

recordsforconfirmationonbehalfofthemselvesorotherdirectorswhodelegatethemtoattend

irectorholdsdissentingopinionstothemeetingrecordsorresolutionrecords,

hecanmakeanexplanationinwritingwhenheaffixeshisname,andwherenecessary,hemay

reportittothesupervisorydepartmentormaymakeapublicdeclaration.

Ifanydirectorfailstoaffixhisnameforconfirmation,orexplainhisdissentingopinionsin

writing,orreportittothesupervisorydepartmentordeliverapublicdeclarationaccordingtothe

precedingParagraph,itshallberegardedthathehascompletelyagreedwiththecontentsinthe

meetingrecordsorresolutionrecords.

Article29ResolutionAnnouncements

Theannouncementoftheresolutionsformedbytheboardofdirectorsshallbehandledbythe

secretaryoftheboardofdirectorsaccordingtotherelevantprovisionsintheRulesofShanghai

thedisclosureofaresolutionannouncement,the

directorsattendingthemeeting,thepersonsattendingthemeetingasnon-votingdelegates,the

personnelforrecordingandprovidingservices,eepthecontentsoftheresolutionsto

themselves.

Article30ImplementationofResolutions

Thechairmanoftheboardofdirectorsshallurgetherelevantpersonstoimplementtheresolutions

formedbytheboardofdirectors,inspecttheimplementationofresolutions,andcirculateanotice

ontheimplementationofresolutionsformed.

Article31PreservationofMeetingArchives

Themeetingarchivesofthemeetingoftheboardofdirectors,includingthenoticeonthemeeting,

conferencematerials,theattendancebook,thelettersofattorneyonentrustingdirectorstoattend

themeeting,therecordingdataonthemeeting,votes,themeetingrecords,meetingminutes,

resolutionrecordsandresolutionannouncementsassignedandaffirmedbythedirectorsattending

themeeting,etc.,shallbekeptbythesecretaryoftheboardofdirectors.

Themeetingarchivesofthemeetingoftheboardofdirectorsshallbekeptfor10yearsormore.

Article32SupplementaryProvisions

Theterm“morethan”asmentionedintheseRulesshallincludethesaidfigureitself.

TheseRulesshallcomeintoforceaftertheboardofdirectorsformulatethemandreportthemto

thegeneralassemblyofshareholdersforapproval,anditshallbethesamefortherevisionthereof.

ThepowertointerprettheseRulesshallremainwiththeboardofdirectors.
